We provide administrative document collection, verification, and reporting for vendor certificates of insurance ("COIs"): requesting certificates and endorsement copies from your vendors, comparing received documents against the requirements matrix you approve in writing, following up on expirations on an agreed schedule, and sending periodic compliance reports. The service is delivered remotely and in writing.
We are not an insurance agency, broker, producer, adjuster, or advisor, and we are not a law firm. We do not recommend coverage types, limits, endorsements, or carriers; we do not assess whether any vendor's insurance is adequate for your risks; and we do not verify that any policy is genuine or in force. Certificates of insurance are informational documents — they do not confer coverage, and an insurer may deny any claim regardless of what a certificate shows. Questions about what your vendors should carry belong with your insurance broker or attorney.
You (or your broker) set and approve the requirements matrix before service starts, and you own every decision about vendors — including whether to engage, pause, or exempt a vendor. Exceptions you grant are logged as your written decisions. You will provide accurate vendor contact information and designate one decision-maker we can email.
Reports reflect documents on file as of the report date, as those documents were presented to us. "Compliant" in a report means "the documents we received match the matrix you approved" — nothing more.
Fees are as published at jv-vn.com or in your order confirmation, billed monthly in advance, month-to-month. Either party may cancel with 15 days' written notice. On cancellation we deliver your document archive and tracker export within 5 business days.
To the maximum extent permitted by law: (a) our total aggregate liability arising out of the service is capped at the fees you paid us in the three (3) months before the event giving rise to the claim; (b) we are not liable for indirect, incidental, or consequential damages, lost profits, or losses arising from vendor misrepresentation, forged or inaccurate documents, insurer insolvency or claim denial, or decisions you make based on our reports; (c) the service is provided "as is" without warranties of any kind. If any part of this section is unenforceable, the remainder survives.
We store your vendor documents securely, use them only to deliver the service, never sell or share them, and delete them on request after the retention period you choose (default: 5 years, the industry norm for certificates of insurance).
Virginia law governs; disputes go to the courts of Norfolk, Virginia. We act as an independent contractor. These terms plus your order confirmation are the entire agreement. We may update these terms with 30 days' notice; continued service means acceptance. Email acceptance and e-signatures are binding.
